• Return or destroy confidential information upon request

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TERKNOX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless TerKnox from any claims, damages, losses, and expenses (including attorney fees) arising from your use of our Services, violation of these Terms, or infringement of any third-party rights.

12. Termination

12.1 Termination by You

You may terminate your use of our Services at any time by providing notice as specified in your service agreement.

12.2 Termination by Us

We may terminate or suspend your access to our Services immediately if you:

• Violate these Terms
• Fail to pay fees when due
• Engage in fraudulent or illegal activities
• Pose a security risk to our systems or other users

12.3 Effect of Termination

Upon termination, your right to use our Services will cease immediately. Provisions that by their nature should survive termination will remain in effect.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles.

13.2 Dispute Resolution Process

In the event of a dispute, the parties agree to:

1. First attempt to resolve the dispute through good faith negotiations
2. If unsuccessful, proceed to mediation
3. As a last resort, resolve disputes through binding arbitration in Ambala, Haryana, India

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any service agreements, constitute the entire agreement between you and TerKnox.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

14.4 Assignment

You may not assign these Terms without our written consent. We may assign these Terms without notice to you.
